Job descriptions
Chair of the ISAST Governing Board of Directors
The Chair Shall :
- Oversee running of the Board and Executive Committee, chair meetings of the Board and Executive Committee;
- Work in partnership with the Board and staff to make sure Board resolutions and decisions are carried out
- Call special meetings if necessary
- Propose for election, based upon recommendation of the Nomination Committee, the officers, committee chairs, and members
- Prepare agenda for board meetings
- Work with the Nominating Committee to recruit new Board members
- Act as spokesperson for the organization
- Periodically consult with Board members on their roles and help them assess their performance
- Currently the Chair is also serving as President.
President of the ISAST Governing Board of Directors
The President shall:
- Serve as President of the Corporation upon election by the Board
- Act as CEO
- Supervise and control the business and officers of the corporation subject to the control of the Board of Directors
- Serve as an ex officio member of all committees
- Perform duties of office as required by law, by the Articles of Incorporation, or the bylaws
- Except as provided by law, the articles of incorporation, or the bylaws, execute such deeds, mortgages, bonds, contracts, checks, or other instruments, which may from time to time be authorized by the Board of Directors
Vice Chair of the ISAST Governing Board
The Vice Chair shall:
- Chair Governing Board meetings in the Chair's absence
- Serve on the Executive Committee
- Carry out special assignments as requested by the Board Chair
- Understand the responsibilities of the Board Chair and be able to perform these duties in the Chair's absence
Secretary of the ISAST Governing Board
The Secretary shall:
- Certify and keep at the principle office of the corporation a current copy of ISAST bylaws
- Keep at principle office of the corporation or at such other place as the Board may determine, a book of minutes of all meetings of the directors, and if applicable, meetings of committees of directors, and of members, recording therein the time and place of holding, whether regular or special, how called, how notice thereof was given, the names of those present or represented at the meeting, and the proceedings thereof, including the vote of each director
- See that all notices are duly given in accordance with the provisions of ISAST bylaws or as required by law
- Be custodian of the records and of the seal of the corporation and see that the seal is affixed to all duly executed documents, the execution of which on behalf of the corporation under its seal is authorized by law or by ISAST bylaws
- Exhibit at all reasonable times to any director of the corporation, or to his or her agent or attorney, upon request, the bylaws, the membership book, and the minutes of the proceedings of the directors of the corporation
- In general, perform all duties incident to the office of secretary and such other duties as may be required by law, by the Articles of Incorporation of ISAST, or by ISAST bylaws, or which may be assigned to him or her from time to time by the Board of Directors.
Treasurer of the ISAST Governing Board
The Treasurer shall:
- Have charge and custody of, and be responsible for, all funds and securities of the corporation, and deposit all such funds to the name of the corporation in such banks, trust companies, or other depositories as shall be selected by the Board
- Receive, and give receipt for, monies due and payable to the corporation from any source whatsoever
- Disburse or cause to be disbursed the funds of the corporation as may be directed by the Board of Directors, taking proper vouchers for such disbursements
- Keep and maintain adequate and correct accounts of the corporations properties and business transactions, including accounts of its assets, liabilities, receipts, disbursements, gains, and losses
- Exhibit at all reasonable times the books of account and financial records to any director of the corporation, or to his or her agent or attorney, upon request
- Render to the President and directors, whenever requested, an account of any or all of his or her transactions as Treasurer and of the financial condition of the corporation
- Prepare, or cause to be prepared, and certify, or cause to be certified, the financial statements to be included in any required reports
- In general, perform all duties incident to the office of treasurer and such other duties as may be required by law, by the Articles of Incorporation of the corporation, or by ISAST bylaws, or which may be assigned to him or her from time to time by the Board
Directors of the ISAST Governing Board
Each Director shall:
- Attend all board and committee meetings and functions, such as special events.
- Be informed about the organization's mission, services, policies, and programs.
- Review agenda and supporting materials prior to board and committee meetings.
- Serve on committees or task forces and offer to take on special assignments.
- Make a personal financial contribution to the organization.
- Inform others about the organization.
- Suggest possible nominees to the board who can make significant contributions to the work of the board and the organization
- Keep up-to-date on developments in the organization's field.
- Follow conflict of interest and confidentiality policies.
- Refrain from making special requests of the staff.
- Assist the board in carrying out its fiduciary responsibilities, such as reviewing the organization's annual financial statements.
ISAST Governing Board of Directors
The Board of Directors shall:
- Determine the organization's mission and purpose. It is the board's responsibility to create and review a statement of mission and purpose that articulates the
organization's goals, means, and primary constituents served.
- Select the chief executive. Boards must reach consensus on the chief executive's responsibilities and undertake a careful search to find the most qualified individual
for the position.
- Provide proper financial oversight. The board must assist in developing the annual budget and ensuring that proper financial controls are in place.
- Ensure adequate resources. One of the board's foremost responsibilities is to provide adequate resources for the organization to fulfill its mission.
- Ensure legal and ethical integrity and maintain accountability. The board is ultimately responsible for ensuring adherence to legal standards and ethical norms.
- Ensure effective organizational planning. Boards must actively participate in an overall planning process and assist in implementing and monitoring the plan's goals.
- Recruit and orient new board members and assess board performance. All boards have a responsibility to articulate prerequisites for candidates, orient new members, and
periodically and comprehensively evaluate its own performance.
- Enhance the organization's public standing. The board should clearly articulate the organization's mission, accomplishments, and goals to the public and garner support from
the community.
- Determine, monitor, and strengthen the organization's programs and services. The board's responsibility is to determine which programs are consistent with the
organization's mission and to monitor their effectiveness.
- Support the chief executive and assess his or her performance. The board should ensure that the chief executive has the moral and professional support he or she needs to
further the goals of the organization.
